Add/Delete Lines of Business

Attorney-for-Service

Also known as Consent for Service of Process. Foreign companies must designate a Texas Service of Process per Texas Insurance Code 804.

  • UCAA Form 12 (Uniform Consent to Service of Process) - Click on the Expansion App tab, then scroll to Form 12

Cancel License

  • UCAA Form 17 (Statement of Withdrawal) - Click on the Corporate Amendment App tab, then scroll to Form 17

By-Laws and Articles of Incorporation 

File amended By-Laws and Articles of Incorporation with the Company Licensing and Registration Office when changes occur to By-laws for the foreign companies listed below. Include the full text of the By-Laws (including amendments), certified by the corporate secretary.

UCAA Corporate Amendments - Click on the Corporate Amendment App tab, then scroll to Forms 1C and 2C

  • County Mutuals  (No Fee)
  • Fraternal Benefit Societies (Retaliatory Fee)
  • Health Maintenance Organizations ($50 Fee)
  • Joint Underwriting Associations (Retaliatory Fee)
  • Local Mutual Aid Companies (No Fee)
  • Local Mutual Burial Companies (No Fee)
  • Multiple Employer Welfare Arrangements (Retaliatory Fee)
  • Workers’ Compensation Self Insurance Groups (No Fee)

Home Office Change

  • For Statutory Home Office changes, use UCAA Corporate Amendments - Click on the Corporate Amendment App tab, then scroll to Forms 1C and 2C
  • For other Changes of Address and Contact Notification Changes, use UCAA Corporate Amendments - Click on the Corporate Amendment App tab, then scroll to Form 14 

Lost Original Certificate of Authority (to be used in conjunction with a required filing)

  • UCAA Form 15 (Affidavit of Lost Certificate of Authority) - Click on the Corporate Amendment App tab, then scroll to Form 15

Merger Involving Two Foreign Insurers

  • UCAA Corporate Amendments - Click on the Corporate Amendment App tab, then scroll to Forms 1C and 2C
  • Life and Health companies must submit a policy endorsement to the Life and Health Division via SERFF

Officers and Directors

Foreign insurers are required to submit Biographical Affidavits and fingerprint receipts for the President, Secretary, and Treasurer, ONLY. Documentation must be submitted with Admissions application, and when changes occur.  Submit to clrbioupdate@tdi.texas.gov 

Disciplinary Actions Taken in Other States

Texas Insurance Code Sec 81.003(b) requires delivery of a copy of any applicable order or judgment to the commissioner not later than the 30th day. Submit to clrfilings@tdi.texas.gov

Send Filing Fees to the Company Licensing and Registration Office

To ensure that your check is properly accounted for, send the Company Licensing Fee Transmittal Form (FIN321) and your cover letter, with the filing fee attached to the address on the form. Be sure that your check can be easily seen by our Mail Center staff. Send your filing to Company Licensing and Registration via email at CLRFilings@tdi.texas.gov
